Job Overview

The Head – Investor Relations is responsible for developing and executing the Company's investor relations strategy, serving as the primary interface between the Company and the investor community. The role focuses on building investor confidence, communicating the Company's financial performance and strategic direction, supporting capital market transactions, and ensuring compliance with all regulatory disclosure requirements. The position plays a critical role before, during, and after an IPO by fostering transparent communication and maintaining strong relationships with shareholders, analysts, institutional investors, and regulatory bodies.

Key Responsibilities

1. Investor Relations Strategy

  • Develop and implement the Company's investor relations strategy aligned with business objectives.
  • Position the Company effectively within the investment community.
  • Enhance shareholder value through transparent and consistent communication.
  • Build long-term relationships with institutional and retail investors.

2. Investor Communications

  • Serve as the primary point of contact for investors, analysts, rating agencies, and financial institutions.
  • Prepare investor presentations, earnings releases, annual reports, fact sheets, and investor FAQs.
  • Organize quarterly earnings calls, investor meetings, roadshows, and analyst briefings.
  • Ensure consistent messaging across all investor communications.

3. Capital Markets & IPO Support

  • Support IPO planning and execution.
  • Coordinate with investment bankers, legal advisors, auditors, registrars, and stock exchanges.
  • Assist in preparing offer documents, prospectus disclosures, and investor marketing materials.
  • Participate in roadshows and institutional investor interactions.
  • Support equity and debt fund-raising initiatives.

4. Financial Analysis & Market Intelligence

  • Monitor analyst reports, market trends, and peer company performance.
  • Analyze shareholder composition and trading activity.
  • Track valuation metrics and investor sentiment.
  • Provide market intelligence to senior management and the Board.

5. Regulatory Compliance & Disclosures

  • Ensure timely compliance with SEBI (LODR) Regulations, Companies Act, and stock exchange disclosure requirements.
  • Coordinate disclosure of financial results, material events, investor presentations, and corporate announcements.
  • Maintain confidentiality and prevent selective disclosure of unpublished price-sensitive information (UPSI).
  • Work closely with the Company Secretary on governance-related disclosures.

6. Board & Executive Support

  • Prepare investor-related reports and presentations for the Board of Directors.
  • Advise senior leadership on investor expectations and market perceptions.
  • Support preparation of AGM and shareholder meeting materials.
  • Provide feedback from investors to management for strategic decision-making.

7. ESG & Sustainability Communication

  • Communicate the Company's ESG strategy and sustainability initiatives to investors.
  • Coordinate ESG disclosures and sustainability reporting.
  • Support engagement with ESG-focused investors and rating agencies.

8. Stakeholder Management

  • Build relationships with institutional investors, mutual funds, foreign portfolio investors (FPIs), analysts, proxy advisory firms, and rating agencies.
  • Coordinate investor visits.
  • Manage investor databases and CRM platforms.

9. Annual Report & Corporate Communication

  • Lead preparation of the Annual Report in collaboration with Finance, Company Secretariat, Sustainability, and Corporate Communications.
  • Ensure accuracy and consistency of financial and strategic disclosures.
  • Support development of investor content for the corporate website.

Qualifications & Requirements

  • Bachelor's degree in Finance, Accounting, Economics, or Business Administration along with MBA (Finance), CA, CFA, CMA, or equivalent professional qualification.
  • 8–10 years of experience in investor relations, corporate finance, equity research, investment banking or finance.
  • Experience in a listed company or IPO environment is mandatory.
