Job Overview

We are seeking an experienced Company Secretary to join our Finance team in Hyderabad. The role will act as the principal compliance officer for corporate law and SEBI regulations, coordinate Board and Committee governance, manage shareholder relations, and provide strategic legal and governance advice to the Board and senior management.

Key Responsibilities

  • Regulatory & Statutory Compliance: Ensure timely compliance with all obligations under the Companies Act, SEBI regulations, stock exchange requirements and other applicable laws; oversee preparation and filing of returns, forms and reports with ROC, SEBI and stock exchanges.
  • Board & Committee Governance: Organize and coordinate Board and Committee meetings — draft agendas, notices, resolutions and minutes; ensure effective follow-up on action items.
  • Shareholder & Stakeholder Management: Manage shareholder communications and general meetings; oversee dividend processes, share transfers and maintenance of statutory registers; respond to shareholder queries professionally.
  • Corporate Governance Framework: Develop and maintain governance policies; advise on corporate governance best practices and ensure alignment with regulatory expectations.
  • Liaison & Regulatory Interface: Act as primary liaison with SEBI, ROC, stock exchanges and other regulatory bodies; coordinate inspections, audits and official communications.
  • Record Maintenance & Documentation: Maintain statutory records, registers and corporate documents; ensure safekeeping and accessibility of filings, resolutions and agreements.
  • Legal Advisory & Risk Mitigation: Provide legal and compliance advice to management and the Board; identify and mitigate potential regulatory and corporate law risks; track regulatory changes and recommend action.

Qualifications & Requirements

  • Education & Certification: Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI).
  • Experience: Minimum 7 years of relevant experience as Company Secretary in a listed company, preferably within the pharmaceutical or regulated manufacturing sector.
  • Technical Knowledge: Hands-on experience with SEBI filings, ROC compliance, stock exchange regulations and corporate law. Comfortable preparing and reviewing statutory filings and regulatory disclosures.
  • Skills: Excellent written and verbal communication, stakeholder management, high attention to detail, strong organizational skills and ability to work with senior leadership and Boards.
  • Attitude: Proactive, ethical, discreet with confidential information, and able to work to tight statutory deadlines.

Nice-to-have: Prior exposure to listed pharma companies, experience managing inspections/audits by regulators, familiarity with corporate secretarial software or ERP integrations.
